TikTok Avoids US Ban After Major Ownership Restructuring

The long-running uncertainty over TikTok’s future in the United States has finally come to an end, with the popular social media platform securing its operations through a major ownership and structural overhaul. TikTok’s parent company, ByteDance, has reached a crucial agreement with the US government to avoid a nationwide ban that had loomed for several years over national security concerns. As part of the deal, TikTok’s US operations will now be managed by a newly formed joint-venture company, ensuring uninterrupted access for nearly 200 million American users.

Under the agreement, TikTok will no longer remain a fully Chinese-owned company in the US. The newly created entity will be majority-owned by American investors, who together hold 80.1 per cent stake, while ByteDance’s ownership has been reduced to 19.9 per cent. Leading firms such as Oracle, Silver Lake, and Abu Dhabi-based MGX have emerged as key stakeholders, alongside other prominent investment groups. This restructuring brings TikTok in line with US legal requirements aimed at reducing foreign control over sensitive digital platforms.

The deal follows years of political, legal, and regulatory pressure in Washington, driven by concerns that American user data could be accessed by foreign entities or that the platform’s powerful recommendation algorithm could be influenced externally. These concerns culminated in legislation requiring divestment or prohibition. The newly established company, operating under TikTok US Data Security (USDS), has been designed to directly address these issues by placing core operations under American oversight.

Data protection has emerged as the cornerstone of the new arrangement. All US user data will now be stored exclusively on Oracle’s cloud infrastructure within the United States, ensuring it remains secure. In addition, TikTok’s algorithm will function under enhanced supervision, with tighter controls on privacy and security.

The new company will be led by experienced executives with deep familiarity with TikTok’s operations. Adam Presser has been appointed chief executive officer, while Will Farrell will serve as chief security officer. Global TikTok CEO Shou Zi Chew will remain involved as a board member, ensuring leadership continuity. ByteDance will continue to manage certain global business functions without direct control over US governance.

Overall, the agreement marks a decisive turning point for TikTok in the United States. It secures the app’s continued presence in a critical market while setting a precedent for addressing data protection, digital sovereignty, and cross-border technology regulation.
