Reliance Promoters Raise Stake Above 50%, Signal Long-Term Confidence

Reliance Industries Ltd (RIL) promoters have increased their stake in the company to 50.48 per cent during the June quarter , reinforcing their confidence in India's most valuable company and its long-term growth strategy. The nearly 0.5 percentage point increase, achieved through open market purchases estimated at ₹8,500–9,000 crore , comes as Reliance continues to make significant investments in retail, digital services, new energy, artificial intelligence, consumer businesses, and green energy initiatives.

According to the latest regulatory shareholding disclosures, the promoter and promoter group raised their holding from around 50 per cent in the previous quarter to 50.48 per cent . The acquisitions were made under SEBI's Substantial Acquisition of Shares and Takeovers (SAST) Regulations , commonly known as the creeping acquisition route, which allows promoters to gradually increase their ownership through market purchases without triggering a mandatory open offer, subject to prescribed annual limits.

While the increase may appear modest, crossing the 50 per cent ownership mark is strategically significant as it gives the promoter group an absolute majority to comfortably pass ordinary shareholder resolutions, strengthening management control and corporate governance stability. However, special resolutions will still require 75 per cent shareholder approval .

Unlike a company-funded share buyback, the latest purchases involved the Ambani family and promoter entities investing their own capital , a move analysts interpret as a strong vote of confidence in Reliance's future earnings and long-term value. Market experts note that promoter buying is often viewed positively because insiders possess the deepest understanding of a company's growth prospects, capital allocation plans and business pipeline.

The latest shareholding pattern shows Mukesh Ambani , Nita Ambani , and their children Isha , Akash , and Anant Ambani each hold 1.61 crore shares (0.12 per cent) , while K D Ambani owns 3.14 crore shares (0.24 per cent) . Among promoter entities, Srichakra Commercials LLP holds the largest stake at 10.93 per cent , followed by Devarshi Commercials LLP , Karuna Commercial LLP , and Tattvam Enterprises LLP , each with 8.06 per cent .

The promoter stake increase is unlikely to have an immediate operational impact but is expected to strengthen investor sentiment. Analysts believe the move signals the promoters' confidence in Reliance's expansion across Jio Platforms, Reliance Retail, green hydrogen, solar manufacturing, battery storage, AI, digital infrastructure and consumer businesses , while marginally reducing the public float without affecting the company's market liquidity.
